The terms governing your relationship with EPR Access Limited and your use of our services.
1. Introduction
Welcome to EPR Access Limited. We are a duly registered and licensed capital market operator, asset manager, and investment company in Nigeria. These Terms and Conditions govern your relationship with us, including all services, investments, and transactions conducted through our platforms. By accessing our services, you acknowledge that you have read, understood, and agreed to be bound by these terms. If you do not agree with any part of these terms, you should not use our services.
2. Regulatory Compliance and Disclosure
EPR Access Limited operates under the regulatory framework of the Securities and Exchange Commission (SEC) of Nigeria and other relevant financial authorities. We adhere strictly to the provisions of the Investments and Securities Act (ISA) 2007 (or its most recent iteration) and the Companies and Allied Matters Act (CAMA). All our operations are conducted with the highest standards of integrity, transparency, and professionalism. We are committed to providing you with accurate and timely information, as required by law, to enable you to make informed investment decisions.
Please note that past performance is not indicative of future results. The value of investments can fluctuate, and you may receive back less than your initial investment. Investment in financial markets carries inherent risks, and it is your responsibility to understand these risks before committing to any investment.
3. Client Responsibilities and Account Management
As a client, you are responsible for:
- Providing accurate, complete, and truthful information during the account opening process and throughout your relationship with us.
- Maintaining the confidentiality of your account credentials, including usernames and passwords. You are solely responsible for all activities that occur under your account.
- Notifying us immediately of any unauthorized use of your account or any other security breach.
- Ensuring that all funds used for investment are from legitimate sources and that you comply with all Anti-Money Laundering (AML) and Combating the Financing of Terrorism (CFT) regulations.
4. Investment and Asset Management Services
As an asset manager, we will manage your investments in a manner consistent with your stated financial goals, risk tolerance, and the agreed-upon investment strategy. We will act in your best interest and with due diligence. Our services may include, but are not limited to, portfolio management, financial advisory, and investment execution in various financial instruments such as equities, bonds, and mutual funds, as permitted by our license.
Our fees for these services will be clearly outlined in a separate agreement or schedule of fees. These fees may include management fees, performance fees, and transaction charges.
5. Limitation of Liability
EPR Access Limited will exercise reasonable care and skill in providing its services. However, we shall not be liable for any loss or damage arising from:
- Market fluctuations, economic crises, or other unforeseen events beyond our reasonable control.
- Your failure to provide accurate or timely information.
- Loss or damage resulting from your negligence or breach of these terms.
- Any third-party actions or failures, including those of banks, brokers, or custodians.
Our liability for any claim shall not exceed the total fees paid by you to us in the twelve months preceding the event giving rise to the claim.
6. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute, controversy, or claim arising out of or relating to these terms will first be addressed through good faith negotiations between the parties.
If a resolution cannot be reached, the dispute shall be referred to the Investments and Securities Tribunal (IST) or the relevant courts in Nigeria, as stipulated by the ISA and other applicable laws.
7. Amendments to Terms and Conditions
EPR Access Limited reserves the right to amend these Terms and Conditions at any time. We will notify you of any material changes through our website, email, or other appropriate communication channels. Your continued use of our services after such notice constitutes your acceptance of the revised terms.
